About the role
Nivara Tech Solutions delivers application engineering and cloud services to enterprise clients in banking, retail and healthcare across India, North America and Europe, with over 6,000 employees. Our Bengaluru legal team is hiring a Corporate Counsel to lead commercial contracting. You will negotiate master services agreements, statements of work and data processing agreements with enterprise clients, advise delivery teams on liability, IP and data protection positions, and improve template and playbook coverage. LLB with six to ten years in technology contracting, including in-house experience at an IT services or SaaS company, is required. Working knowledge of GDPR and Indian DPDP obligations is expected.
What you will own
- Negotiate MSAs, SOWs and DPAs with enterprise clients and their counsel
- Advise on liability caps, indemnities, IP ownership and data protection terms
- Maintain contract templates and negotiation playbooks
- Support dispute avoidance and escalation handling with delivery leadership
- Review vendor and subcontractor agreements for flow-down consistency
- Train sales and delivery teams on contracting discipline
